Our attorneys represent private equity funds, family offices, and high-net worth individuals in their investment in and acquisition of portfolio companies operating across various industries throughout the United States. Our extensive buy-side experience allows us to efficiently broker deals to closing.
Mergers & Acquisitions
Our attorneys represent both buyers and sellers across the country in lower middle market M&A transactions, typically with enterprise values between $5mm and $100mm.
Capital Raises
We routinely represent clients on both sides of private capital raises, working with early-stage venture funds and angel investors, on the investor side, or companies raising capital across their life cycle from first round, start-up capital through institutional and strategic investor rounds.
Outside General Counsel
We often sit as General Counsel for our clients based upon our attorneys' years of experience in both law and business. In this role, we may advise on entity formation, negotiate and draft contracts, or handle employment matters.

WHO WE ARE
Will graduated from Hampden-Sydney College before returning to his hometown to take over his family's business. Running his own business for nine years taught him many important lessons, which he uses every day in his law practice. Will, his wife and three kids, have called Richmond home since they moved here to allow Will to attend The University of Richmond School of Law. After law school, Will has spent his career with one of the largest regional firms based in Richmond and with a small transactional lawfirm. He values the trust his clients place with him and attempts to build on that level of trust by establishing long term relationships with each of his clients. Will wants each of his clients to consider him as a valued advisor to their business team.

Jeff graduated from Virginia Tech with degrees in Finance and Accounting. Prior to law school Jeff worked for Deloitte and Wachovia Securities. With a desire for both business and law, Jeff went to law school where he graduated first in his class and obtained one of the few, coveted federal appellate clerkships with Judge C. Arlen Beam on the U.S. Court of Appeals for the Eighth Circuit. After spending several years handling complex litigation matters for McGuireWoods, Jeff took his love of business out of the courtroom and into the boardroom. Jeff now advises middle market and emerging growth companies, as well as venture capital and private equity fund investors, in avoiding, managing, and mitigating risk and litigation associated with corporate transactions and business operations.

Scott graduated from Princeton University with a Bachelor of Science degree in Electrical Engineering. He spent several years in New York City in the finance and investment industry, and followed that period with several years in Virginia working with investment real estate. After graduating law school from the University of Virginia, he and his family moved to Charlotte, North Carolina where he has been practicing law with a focus on corporate and commercial litigation since 2007. He enjoys using his investment and legal background to bring another facet of expertise to serve our firm’s clients.
